Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Stratics.ai platform, website (stratics.ai), and any related services (collectively, the “Service”), provided by Da Vinci IT bv, a company registered in Belgium, EU, operating under the brand name Stratics.ai.

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to do so.

If you do not agree to these Terms, do not use the Service.

Stratics.ai is a SaaS (Software-as-a-Service) platform that provides AI-powered tools for businesses, including but not limited to: prompt management, AI model integrations, lead qualification, WhatsApp Business messaging, contact management, and marketing workflow automation.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to you.

The Service is intended for business use and is available to individuals who are at least 18 years of age. By registering, you represent and warrant that:

• You are at least 18 years old.
• You have the legal capacity to enter into a binding contract.
• All registration information you provide is accurate and current.
• You will maintain the accuracy of your account information.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorised use at support@stratics.ai.

Certain features of the Service require a paid subscription. The following terms apply to all subscriptions:

• Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually) through our payment provider, Stripe.
• Automatic renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
• Price changes: We may change subscription prices with at least 30 days' prior notice. Continued use after the effective date constitutes acceptance of the new price.
• Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused periods unless required by applicable law.
• Taxes: Prices are displayed exclusive of VAT. Belgian VAT (or other applicable EU VAT) will be added at checkout where required.
• Free trials: If we offer a free trial, your subscription will automatically convert to a paid plan at the end of the trial unless you cancel beforehand.

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not:

• Use the Service to send spam, unsolicited messages, or engage in mass messaging without proper consent from recipients.
• Use the Service to harass, abuse, threaten, or harm any person.
• Violate any applicable laws, including GDPR and other data protection laws.
• Attempt to gain unauthorised access to any part of the Service or its underlying infrastructure.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Use the Service to transmit malware, viruses, or other harmful code.
• Resell or sublicense the Service without our prior written consent.
• Violate Meta's Platform Terms or WhatsApp Business Policy when using the WhatsApp integration.
• Use the Service to process sensitive personal data (e.g. health, biometric, or financial data) beyond what is explicitly supported and documented.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms.

You retain all ownership rights to the content and data you submit to the Service (“User Content”). By submitting User Content, you grant Da Vinci IT bv a limited, non-exclusive, worldwide licence to host, store, and process that content solely as necessary to provide the Service to you.

You are solely responsible for ensuring that your User Content and your use of the Service comply with applicable laws, including data protection laws and Meta's platform policies.

We do not use your User Content to train AI models. AI requests made through the Service are processed by third-party providers (OpenAI, Anthropic, Google, xAI) subject to their respective terms and privacy policies.

Use of the WhatsApp Business API integration is subject to Meta's WhatsApp Business Policy and Meta Platform Terms. You agree to:

• Comply with all applicable Meta platform and WhatsApp policies at all times.
• Obtain all required consents from your end-users before messaging them.
• Only send approved message templates for outbound messaging as required by Meta.
• Not use the integration to send promotional messages without opt-in consent.

We are not responsible for any suspension or termination of your Meta/WhatsApp account due to policy violations.

The Service, including its design, software, text, graphics, and all other content created by Da Vinci IT bv, is owned by or licensed to Da Vinci IT bv and is protected by intellectual property laws. “Stratics.ai” and associated logos are trademarks of Da Vinci IT bv.

These Terms do not grant you any rights to use our trademarks, logos, or branding without our prior written consent.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. AI-generated content is provided for informational purposes and may not always be accurate; you are responsible for reviewing and verifying any AI output before use.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DA VINCI IT BV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under Belgian or EU law.

You agree to indemnify, defend, and hold harmless Da Vinci IT bv, its officers, directors, employees, and agents from and against any claims, damages, losses, and costs (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights or applicable laws.

You may terminate your account at any time by cancelling your subscription and deleting your account from the account settings.

We may suspend or terminate your access to the Service immediately, with or without notice, if we determine that you have violated these Terms, or for any other legitimate business reason. Upon termination, your right to use the Service ceases immediately.

After account termination, we will delete or anonymise your personal data in accordance with our Privacy Policy, subject to any legal retention obligations.

These Terms are governed by and construed in accordance with the laws of Belgium and applicable European Union law, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the competent courts of Belgium.

If you are a consumer in the EU, you may also use the EU Online Dispute Resolution platform.

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
